Terms of Service

Effective October 20, 2026

These terms are an agreement between you and Parrot Labs LLC ("Parrot Labs", "we", "us") for your use of parrotlabs.ai and the Parrot Labs app (the "Service"). If you use the Service on behalf of an organization, you agree to these terms for that organization and confirm you have authority to do so. If you do not agree, do not use the Service.

Accounts

You must be at least 16 and able to form a binding contract to use the Service. Give us accurate information, keep your sign-in credentials secure, and tell us promptly at [email protected] if you suspect unauthorized use. You are responsible for activity under your account and for the members you add to your organizations.

Early access

The Service is in early access. Features may change, be limited or be removed, and the Service may be unavailable at times. We will try to give notice of significant changes.

Your content

You keep ownership of the prompts, files, settings and other content you put into the Service and the outputs you receive ("Your Content"). You give us permission to host, process, transmit and display Your Content only as needed to provide the Service to you, including sending prompts to the LLM providers your experiments use. We do not use Your Content to train models.

You are responsible for Your Content and confirm you have the rights needed to submit it, including any personal information it contains.

LLM providers and outputs

Experiments are run by third-party model providers such as OpenAI, Anthropic and Google. Your use of their models is also subject to their terms and usage policies. Model outputs can be inaccurate, incomplete or offensive, and similar inputs can produce different outputs. Evaluate outputs before relying on them, especially for legal, medical, financial or other consequential decisions. We are not responsible for the availability or behavior of third-party models.

If your organization uses its own provider API keys, you are responsible for complying with that provider's terms and for the charges it bills you.

Acceptable use

You agree not to:

  • break the law, infringe others' rights, or violate an LLM provider's usage policies;
  • generate or distribute content that is illegal, abusive, or that exploits or harms minors;
  • probe, scan or test the vulnerability of the Service, or bypass its security, rate limits or plan limits;
  • interfere with the Service or other users, or overload it;
  • resell or provide the Service to third parties, or use it to build a competing product, without our written permission;
  • reverse engineer the Service except where the law allows it; or
  • create accounts by automated means or share an account between people.

Plans, credits and payment

Some features require a paid plan. Paid plans are billed in advance through Stripe and renew automatically until cancelled. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Experiments run on platform keys use credits; credits have no cash value, are not transferable and may expire as described in your plan. Except where the law requires otherwise, payments are non-refundable. We may change prices with at least 30 days' notice before your next renewal. Custom plans agreed in writing follow the terms of that agreement where they differ.

Our property

The Service, including its software, design and branding, belongs to Parrot Labs and its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. If you send us feedback, we may use it without obligation to you.

Suspension and termination

You can stop using the Service and ask us to delete your account at any time. We may suspend or end your access if you breach these terms, if your use creates risk or legal exposure for us or others, or if we stop offering the Service, and we will give notice where reasonable. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnity and governing law) will survive.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, PARROT LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY OUTPUT WILL BE ACCURATE, UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, PARROT LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US$100.

Indemnity

You will defend and indemnify Parrot Labs against third-party claims, and the resulting losses and reasonable costs, arising from Your Content or your breach of these terms.

Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Disputes will be heard exclusively in the state and federal courts located in New York County, New York, and both parties consent to their jurisdiction.

Changes to these terms

We may update these terms. If the changes are significant we will notify you by email or in the app before they take effect. Continuing to use the Service after that means you accept the updated terms.

General

These terms, together with our Privacy Policy and any order or plan terms you agree to, are the entire agreement between you and Parrot Labs about the Service. If a provision is unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
